Inactive company should cancel CR
We stopped trading. Should we keep renewing?
The situation
An unused CR keeps fees and filing duties running; cancelling needs a GTA NOC.
The law
- Commercial Registry Law (renewal and changes): Renew within 30 days before expiry; notify changes within 30 days; entry can be deleted 90 days after notice if not renewed
- GTA announcement on certificate validity (June 2025): Tax compliance certificate valid one year; NOC for CR cancellation valid 90 days; NOC for change of ownership valid 180 days
What it means for you
Renewing a CR you will not use keeps fees, Chamber charges and tax filing duties running. If you will not trade again, follow the liquidation route in QA-LIQ-01. Tax returns stay due until the CR is cancelled.
What to do
- Decide to close.
- File open returns.
- Get NOC.
- Cancel CR.
