First steps to close a Qatar company
We have decided to close our Qatar company. What is the first step?
The situation
Closure under the Commercial Companies Law starts with a shareholder resolution and appointment of a liquidator, then tax, labour and immigration clearances.
The law
- Commercial Companies Law No. 11 of 2015: Rules on company forms, auditors, dissolution and liquidation
- GTA announcement on certificate validity (June 2025): Tax compliance certificate valid one year; NOC for CR cancellation valid 90 days; NOC for change of ownership valid 180 days
What it means for you
Pass the resolution, appoint a liquidator, and list all open tax returns, staff and contracts. The GTA NOC for CR cancellation comes after all filings and is valid for 90 days, so the order of steps matters.
What to do
- Pass the shareholder resolution.
- Appoint a liquidator.
- List open filings, staff and contracts.
- Plan the GTA NOC timing.
