Dormant company that never traded

Our company never traded. Can we just cancel the CR?

The situation

Filing duties apply until the company is cancelled, even with no activity.

The law

  • Law No. 24 of 2018 and GTA filing rules for Qatari and GCC owned entities: The share of profit owned by Qatari and GCC nationals is exempt, but the entity still files
  • Art. 24, Law No. 24 of 2018 on Income Tax: Late return penalty of QAR 500 per day, capped at QAR 180,000
  • GTA announcement on certificate validity (June 2025): Tax compliance certificate valid one year; NOC for CR cancellation valid 90 days; NOC for change of ownership valid 180 days

What it means for you

File nil or simplified returns for each open year so penalties stop, then request the NOC. A dormant company with two missed years could already carry daily penalties.

What to do

  1. File returns for each open year.
  2. Clear any balances.
  3. Request the NOC.
  4. Cancel the CR.

We can do this for youLiquidation and cancellation of a company with GTA clearance: QAR 12,000
