Updating partner or manager details on the CR

We changed our manager. Do we update Sijilat before renewal?

The situation

Changes to managers, partners or address are amendments that should be filed when they happen.

The law

  • Commercial Registration Law, Decree-Law No. 27 of 2015 (amended by Decree-Law 52 of 2018 and Law 9 of 2022): Every commercial activity needs a CR issued through Sijilat; a CR is deleted if required licences are not obtained within one year
  • Commercial Companies Law, Decree-Law No. 21 of 2001: Sets company forms (WLL, SPC, BSC), management, accounts, dissolution and liquidation

What it means for you

Out of date data can cause banks and LMRA to reject requests and can create violations. File the amendment with the board or partner resolution, then renew. Provider summaries price shareholder or director changes at BHD 150 to 500 including advisory work.

What to do

  1. Pass the partners' resolution.
  2. File the amendment on Sijilat.
  3. Upload new manager ID.
  4. Renew after approval.
