Outstanding annual returns

We have overdue ARs. Can we strike off?

The situation

Overdue annual returns and unpaid ACRA penalties usually need to be resolved before a strike off application can proceed.

The law

  • Sec 344A, Companies Act 1967: Application to the Registrar to strike off a company
  • Sec 197, Companies Act 1967: Annual return filed within 7 months after financial year end

What it means for you

File the overdue annual returns and pay late penalties. ACRA checks the company's filing record during the application. Budget for these costs, which can be higher than the cost of the strike off itself.

What to do

  1. List overdue.
  2. File.
  3. Pay.
  4. Apply.
