Non-resident owner of a sole proprietorship

I live overseas. Can I own a sole proprietorship in Singapore?

The situation

A non-resident owner generally needs an authorised representative or local manager who resides in Singapore.

The law

  • Business Names Registration Act 2014: Sole proprietors and partnerships register with ACRA before starting business

What it means for you

Many overseas owners choose a Pte Ltd instead because it is easier for banks and clients. The local person has legal duties, so pick carefully. The local manager or representative receives official notices and can be held responsible for compliance. A company with a resident director is often simpler to run from abroad.

What to do

  1. Check ACRA's local manager rules.
  2. Appoint a resident representative.
  3. Register on BizFile.
  4. Or consider a Pte Ltd.
