Attesting parent company documents for a Saudi subsidiary
Our Indian parent's documents were rejected. What attestation is needed?
The situation
When a foreign company is a shareholder, its CR, articles and board resolution must be legalised and translated into Arabic before the Saudi filing.
The law
- Investment Law (Royal Decree M/19, 11 August 2024): Foreign investors register with MISA before investing; licensing replaced by registration
What it means for you
Saudi authorities need proof that the foreign shareholder exists and authorised the investment. Public guides put attestation and translation at about SAR 2,000 to 6,000. Start this first because it often takes the longest. Make sure the board resolution names the Saudi manager and capital exactly as in your draft articles.
What to do
- Get the parent's certificate of incorporation, articles and board resolution notarised.
- Complete legalisation through the required channel.
- Translate into Arabic with a certified translator.
- Upload with the MISA and CR applications.
Mismatched names or capital between resolution and articles cause rejection.
