Can I strike off my dormant Sdn Bhd?

The situation

A company can apply to SSM under s550 to be struck off if it has ceased business, has no assets or liabilities, and meets SSM conditions.

The law

  • Sec 550, Companies Act 2016: Application to the Registrar to strike a company off the register

What it means for you

You will need LHDN's no-objection, all SSM filings up to date and member consent. SSM charges RM100. If there are assets, use winding up instead. If the company has creditors or pending disputes, SSM can reject the application. Directors also confirm the facts in the application, so they must be accurate.

  1. Check no assets or liabilities.
  2. Get LHDN no-objection.
  3. Lodge outstanding filings.
  4. Apply on MBRS.
