Overdue annual returns before strike off

We have not filed annual returns for 2 years. Can we still strike off?

The situation

SSM expects filings to be brought up to date before or as part of the strike off process.

The law

  • Sec 550, Companies Act 2016: Application to the Registrar to strike a company off the register
  • Sec 68, Companies Act 2016: Annual return lodged within 30 days of each incorporation anniversary

What it means for you

Lodge the overdue returns and pay any compounds. This can cost more than expected. Directors may face compounds personally for some late filings. Budget for these before planning the closure date.

What to do

  1. List overdue filings.
  2. Lodge them.
  3. Pay compounds.
  4. Then apply.

We can do this for youStrike off a dormant Sdn Bhd under section 550: MYR 1,500
