Who can be the compliance officer of my LLP?
The situation
Every LLP must have a compliance officer who is a partner or qualified person and ordinarily resides in Malaysia.
The law
- Limited Liability Partnerships Act 2012: Registration of LLPs and annual declaration of solvency within 90 days after financial year end
What it means for you
The compliance officer is responsible for filings and can be penalised along with partners. A licensed company secretary is often used. Pick someone who will actually track the declaration and changes.
What to do
- Choose a resident partner or a qualified secretary.
- Record their consent.
- Add them at registration.
- Lodge changes when they leave.
