Changing partners in an LLP

A partner is leaving our LLP. What must we file?

The situation

Changes in partners or particulars must be lodged with SSM within the time set under the LLP Act 2012.

The law

  • Limited Liability Partnerships Act 2012: Registration of LLPs and annual declaration of solvency within 90 days after financial year end

What it means for you

File promptly so the register matches reality and the leaving partner's liability position is clear. Settle capital and profit share under the agreement. Make sure at least two partners remain.

  1. Agree exit terms under the agreement.
  2. Lodge the change on MyLLP.
  3. Update bank mandates.
  4. Confirm two partners remain.
