Raising capital later
We want to increase our PT's capital. What steps?
The situation
Changes to authorised capital need a GMS resolution, a notarial deed and Ministry of Law approval. Changes to issued capital within the authorised amount need notification.
The law
- Art 32 and 33, Law 40/2007 on Limited Liability Companies (UUPT), as amended by Law 6/2023: Authorised capital is set by the founders; at least 25 percent of it must be issued and fully paid
What it means for you
Decide whether you are raising authorised capital or just issuing more shares within it. Pay the new capital into the company account and keep proof. Update OSS data and, for PMA, report in LKPM.
What to do
- Pass a GMS resolution.
- Sign the deed of amendment.
- Get Ministry approval or receipt.
- Pay in and update OSS.
Capital paid without deed records can be treated as a loan.
