Minimum capital for a local PT
Berapa modal minimal untuk bikin PT sekarang?
The situation
After the Job Creation Law, founders decide the authorised capital of a regular PT, unless a sector rule requires a minimum. At least 25 percent of authorised capital must be issued and paid.
The law
- Art 32 and 33, Law 40/2007 on Limited Liability Companies (UUPT), as amended by Law 6/2023: Authorised capital is set by the founders; at least 25 percent of it must be issued and fully paid
What it means for you
There is no longer a fixed IDR 50 million minimum for regular PTs. Choose an amount that fits your plans, as banks, landlords and tenders may judge the company by its capital. Example: authorised capital IDR 1,000,000,000 needs at least IDR 250,000,000 issued and paid.
What to do
- Decide authorised capital with your partners.
- Set issued and paid capital at least 25 percent.
- Pay it into the company bank account once open.
- Keep proof of payment.
Sector rules (for example finance) can require much more.
