Foreign director signing before KITAS
Our foreign director is still abroad. Can he sign the deed and bank forms?
The situation
A foreigner can be named director in the deed while abroad. To work and live in Indonesia as director, the right KITAS is needed.
The law
- Law 6/2011 on Immigration, as amended by Law 63/2024: Foreigners staying to work or invest need the right visa and a limited stay permit (KITAS)
- Art 42, Law 13/2003 on Manpower, as amended by Law 6/2023: An employer of a foreign worker must have an approved foreign worker utilisation plan (RPTKA)
What it means for you
Signing the deed can be done with a power of attorney or before a notary abroad with legalisation. Day to day work in Indonesia requires an investor KITAS or a work KITAS with RPTKA. Banks often require the director in person.
What to do
- Plan signatures by power of attorney if abroad.
- Apply for an investor or work KITAS.
- Book bank meetings after arrival.
- Register NPWP when resident.
Working on a visit visa breaks immigration rules.
