Annual return deadline

Our FYE is 31 December. When is our annual return due?

The situation

A company files its annual return within 7 months after its financial year end.

The law

  • Sec 197, Companies Act 1967: Annual return filed within 7 months after financial year end

What it means for you

The AGM, if held, comes first, within 6 months. ACRA charges S$60 to file. Late filing attracts a penalty and directors can be prosecuted. Example: year end 31 December 2026 means an AGM, if held, by 30 June 2027 and the annual return by 31 July 2027. Directors who repeatedly miss deadlines risk disqualification.

What to do

  1. Close accounts by month 4.
  2. Hold AGM or pass resolutions by month 6.
  3. File AR by month 7.
  4. Pay S$60.

We can do this for youAGM and annual return filing: SGD 700
