NCLT Rules 2016, Rule 87A
Restoration appeal or application is filed in Form NCLT-9 and served on the Registrar at least 14 days before the hearingSource
Companies (Incorporation) Rules 2014, Rule 25A and INC-22A (web form from 14 July 2025)
Companies incorporated on or before 31 December 2017 confirm registered office, directors, KMP and auditors in INC-22A; non-filers are marked ACTIVE Non-CompliantSource
Government fee
INC-22A: no fee if filed by the original due date (25 April 2019, extended to 15 June 2019); ₹10,000 fixed fee after that (https://www.legalwiz.in/blog/web-based-eform-inc-22a-active-on-mca-portal). NCLT restoration: practitioner source reports a ₹1,000 fee with the petition (https://taxguru.in/company-law/revival-companies-section-252-companies-act-2013.html); all pending ROC forms are then filed with their own fees and additional fees.
Late fee or penalty
INC-22A after the due date carries the ₹10,000 fee (https://taxguru.in/company-law/faq-form-inc-22a-active-company-tagging-identities-verification.html). In restoration, NCLT orders are typically conditional on filing all outstanding returns with fees and additional fees, and often on paying costs (one example: ₹25,000 to the Prime Minister's Relief Fund) (https://www.taxmann.com/post/blog/compliance-of-conditions-precedent-to-restoration-order-u-s-252-of-the-companies-act-2013/).
