Answer in brief

When the company issues new shares, it must file a return of allotment (PAS-3) with the ROC. For a private placement it is due in 15 days and the money cannot be used until then. We run the process from resolution and valuation to offer letter, allotment and PAS-3.

What trips people up

  • Paid-up capital not reflected in master data after PAS-3 approval

Raise a complaint on the SRN; check event dates, since later-dated filings only update dataSource

  • Class-wise capital master missing or wrong

The class-wise master is created only by the first SH-7 or PAS-3; file PAS-3 for each allotmentSource

  • Portal does not let you save PAS-3 and affix DSC, or PDF downloads blank

Retry in a clean session; if it persists, raise a complaint before the 15 days run outSource

  • Using investor money before PAS-3 is filed

Keep funds in the separate account until allotment and PAS-3 filingSource

  • DSC not registered or not associated with the DIN on V3

Register the DSC on the signatory's V3 business user profile with the right role and DIN before signing; remove any old V2 association that blocks itSource
