Choosing between a WLL and a KDIPA entity

Should I form a WLL with a Kuwaiti partner or apply to KDIPA?

The situation

A WLL is the established route with the 49% cap. KDIPA can licence 100% foreign owned entities and offer incentives, but approvals are selective.

The law

  • Commercial Code ownership rule and Law No. 1 of 2024: Foreign ownership of a Kuwaiti company is generally capped at 49%; Law 1 of 2024 on dropping the local agent rule is not yet in practical effect
  • Law No. 116 of 2013 on the promotion of direct investment (KDIPA): KDIPA can licence up to 100% foreign owned entities and grant incentives including tax relief, outside the general 49% limit

What it means for you

A WLL is faster and suits trading and services where a trusted local partner adds value. KDIPA suits larger strategic projects in technology, healthcare, logistics or manufacturing where control or IP matters. Small consultancies are reported as rarely approved. Compare timelines, control and tax incentives.

What to do

  1. List what control you need.
  2. Check sector fit with KDIPA.
  3. Compare timelines.
  4. Choose and plan the tax set up.
