Minimum capital for a Bahrain WLL
How much capital do I have to put in a Bahrain WLL? Is BHD 20,000 the legal minimum?
The situation
Current provider summaries show no statutory minimum capital for a WLL, with a minimum share value of BHD 50. Banks often expect about BHD 20,000 deposited as a market norm. A BSC Closed needs BHD 250,000.
The law
- Commercial Companies Law, Decree-Law No. 21 of 2001: Sets company forms (WLL, SPC, BSC), management, accounts, dissolution and liquidation
What it means for you
The BHD 20,000 figure is a bank expectation in practice, not a fixed legal minimum quoted in current guides. Your capital should match your real needs and the bank's onboarding policy. Example: a consulting WLL with low costs might set capital of BHD 5,000, but if the bank asks for more before opening the account, you may have to raise it. Capital stays in the business as working capital.
What to do
- Ask your chosen bank what capital it expects for your activity.
- Set capital in the memorandum to meet that need.
- Deposit capital once the account is ready.
- Keep the bank certificate for Sijilat.
Do not inflate capital you cannot keep in the account.
