What does MOIC need from our BSC for AGM approval?
The situation
MOIC lists the AGM agenda, prior minutes, board list, auditor's management letter, directors' report, audited statements, corporate governance report, sample AGM notice and two agreed upon procedures reports on governance and related party transactions.
The law
- Commercial Companies Law, Decree-Law No. 21 of 2001: Sets company forms (WLL, SPC, BSC), management, accounts, dissolution and liquidation
What it means for you
The two AUP reports from the external auditor are often forgotten and take time. Build them into the audit timetable. Missing items delay approval of the AGM.
